Secondary headquarters, i.e. "sede secondaria"

What is it?

"Secondary headquarters" is the English translation of the Italian term "sede secondaria" . A secondary headquarters of a foreign company, located in Italy, has two main distinctive features:

  1. permanent structures, where business activities are carried out or a branch of the company is housed;
  2. permanent representation office, where a legal representative is entitled ro represent the company and negotiate with third parties.

Secondary headquarters has to be registered in the Business Register at the competent Chamber of Commerce.
 

Things to do

To register a secondary headquarters, you have to submit an online application within 30 days after the deed of incorporation of the headquarters is filed at a notary's office, and within 45 days after the date of the deed. The online application has to be digitally signed by the notary.


Annexes required

The deed of incorporation, and corresponding filing report at an Italian notary's office; the current statute of the company, translated into Italian. The translation has to be certified by an Italian court.

If the foreign company is based in an EU member state, the notary can file, instead of the current statute, a statement (signed by himself or a company legal representative) concerning the registration of the company in the EU member state Business Register, accompanied by a certified translation into Italian.
